OKR Dash is a product operated by Waypoint Software Pty Ltd (ACN 695 352 295), a company incorporated in Australia. References in these Terms to "OKR Dash", "we", "us" or "our" refer to Waypoint Software Pty Ltd.
"Service" means the OKR Dash web application, APIs, and any related services made available at okr-dash.com.
"User" means any individual who accesses or uses the Service.
"Workspace" means an account instance created by an organisation or individual, which may contain multiple Users.
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you represent that you have authority to do so.
If you do not agree to these Terms, you must not use the Service.
3.1. OKR Dash provides OKR (Objectives and Key Results) tracking and team goal management software, delivered as a web-based service.
3.2. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Where reasonably practicable, we will give advance notice of significant changes.
3.3. We aim to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times.
4.1. To use the Service, you must register for an account using a valid email address.
4.2. You are responsible for maintaining the security of your account credentials, and for all activity that occurs under your account.
4.3. You must notify us promptly at hello@okr-dash.com if you become aware of any unauthorised use of your account.
4.4. You must be at least 16 years of age to create an account.
5.1. The Service is available under a free tier and a paid Premium subscription. The features and limits of each are as described on the pricing page.
5.2. Premium subscriptions are billed in advance on a monthly or annual basis. Prices are listed on the pricing page and are in Australian Dollars (AUD) unless otherwise stated.
5.3. Payments are processed by Stripe. By subscribing you also agree to Stripe's Terms of Service.
5.4. Subscriptions renew automatically at the end of each billing period at the same price. You will not receive a separate renewal notice.
5.5. Once signed up, you will pay the same price for the lifetime of that subscription. If you cancel and later re-subscribe, the price at the time of re-subscription will apply.
5.6. We reserve the right to suspend access to the Service if any payment remains outstanding.
6.1. You may cancel your Premium subscription at any time through the billing portal accessible via your Workspace settings. Upon cancellation, no further payments will be taken and your Premium access will remain active until the end of the current billing period.
6.2. No refunds or credits are issued for partial subscription periods.
6.3. When your Premium subscription expires, your Workspace reverts to the free tier. No data will be deleted automatically; previously collected data remains accessible within the limits of the free tier.
6.4. We may suspend or terminate your account if you breach these Terms, at our discretion. Where feasible, we will give notice before doing so.
6.5. You may request deletion of your account and all associated data by emailing hello@okr-dash.com.
You agree not to:
8.1. The Service, including all software, design, text, and graphics, is owned by or licensed to Waypoint Software Pty Ltd and is protected by copyright and other intellectual property laws.
8.2. Your content (OKRs, key results, check-ins, and other data you enter) remains yours. By using the Service, you grant Us a limited, non-exclusive licence to store and process your content solely to provide the Service to you.
8.3. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.
9.1. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2. We do not warrant that the Service will meet your specific requirements, or that it will always be secure, accurate, or available.
10.1. To the maximum extent permitted by applicable law, Waypoint Software Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business, arising out of or in connection with your use of the Service.
10.2. Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim; or (b) AUD $100.
10.3. Nothing in these Terms excludes liability that cannot be excluded under applicable Australian consumer law.
11.1. We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date.
11.2. For material changes, we will make reasonable efforts to notify you, for example by email or an in-product notice. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
These Terms are governed by the laws of Western Australia (WA). You agree to submit to the exclusive jurisdiction of the courts of WA for the resolution of any disputes arising under or in connection with these Terms.
